# Aethelis Pilot / Evaluation Agreement

**DRAFT — FOR LEGAL REVIEW**

This Pilot / Evaluation Agreement (“Agreement”) is intended to document a limited evaluation of Aethelis between the customer identified in the applicable Order Form or evaluation scope (“Customer”) and the applicable Aethelis contracting entity (“Aethelis”).

The final agreement must identify the legal entities, effective date, commercial terms, and other required legal information before execution.

## 1. Purpose

Aethelis will provide Customer with limited access to the Aethelis platform for the evaluation purpose described in the applicable Order Form or written scope.

Evaluation access does not constitute authorization for production use unless expressly stated in an executed agreement.

## 2. Evaluation scope

The parties should document:

- authorized use case;
- evaluation period;
- authorized users;
- expected data categories;
- prohibited data or uses;
- evaluation environment;
- success criteria;
- support expectations;
- applicable fees, if any.

## 3. Access

Aethelis controls organization provisioning and user authorization.

Authentication does not independently grant access to a Customer workspace.

Customer will use reasonable measures to protect its account credentials and will not knowingly permit unauthorized access.

## 4. Customer data

Customer is responsible for determining what information it is authorized to provide to Aethelis and for complying with restrictions established for the evaluation.

Any permitted processing of Customer data should be described in the applicable agreement, Order Form, or Data Processing Addendum.

## 5. Acceptable evaluation use

Customer will use the evaluation environment only for the agreed evaluation purpose and will not intentionally interfere with the service, attempt unauthorized access, or use the service in violation of applicable law.

## 6. Confidentiality

The final executed agreement should contain mutually appropriate confidentiality obligations covering non-public business, technical, security, and customer information.

## 7. Intellectual property

Each party retains ownership of its pre-existing intellectual property.

The final agreement should define rights relating to platform technology, Customer materials, feedback, and evaluation outputs.

## 8. No publicity without permission

Participation in an evaluation does not grant Aethelis permission to use Customer's name, logo, trademarks, quotes, results, or other identifying information publicly.

Any customer story, testimonial, logo use, or public reference requires separate explicit authorization.

## 9. Evaluation limitations

The evaluation service may differ from a production deployment.

Production rights, service commitments, support terms, and other production obligations must be established separately in an executed agreement.

## 10. Fees

Any evaluation fees, credits, payment schedule, taxes, or other commercial terms should be stated in the applicable Order Form.

## 11. Term and termination

The final agreement should establish the evaluation term and the parties' termination rights, including treatment of access and Customer data following termination.

## 12. Warranties, liability, and legal terms

Warranty disclaimers, limitations of liability, indemnification, governing law, dispute provisions, notices, and other legal provisions must be finalized with qualified legal counsel before commercial reliance.

## 13. Entire evaluation arrangement

The executed Agreement together with the applicable Order Form and any incorporated addenda will describe the parties' evaluation arrangement.
